Shogun Innovations (shogun.nz): Terms and Conditions of Sale

1. Introduction

These Terms and Conditions govern the sale of all products, designs, plans, and services by Shogun Innovations Ltd, including but not limited to the EFMX Bike and Shogun Ramp Plans. By purchasing from Shogun Innovations Ltd, you agree to be bound by these Terms and Conditions.

2. Product Information

  • Shogun Innovations Ltd strives to provide accurate and up-to-date information regarding product descriptions, pricing, and availability. However, we reserve the right to make changes without prior notice.

  • Product images are for illustrative purposes only and may differ slightly from the actual product.

  • For ramp plans, any preview or display images may be distorted, stretched, or skewed intentionally to prevent unauthorized copying.

3. Pricing and Payment

  • All prices are listed in New Zealand Dollars (NZD) and/or United States Dollars (USD).

    • Prices listed in NZD include applicable taxes.

    • Prices listed in USD and for international sales do not include applicable taxes; these may be added at checkout or may be the buyer’s responsibility to manage with local authorities.

  • Payment must be made in full at the time of purchase. We accept payments via Stripe, PayPal, and bank transfer.

  • Shogun Innovations Ltd reserves the right to cancel orders if payment is not received or if there is an issue with the payment method.

4. Ramp Plan License Agreement

Private Use License ($100 USD)

  • You may build one ramp for your own personal use.

  • You may not use the ramp for paid shows, rentals, coaching, or any other commercial activity.

  • You may not resell, share, modify, or redistribute the ramp plans in any form.

Commercial License ($300 USD per ramp)

  • You may build one ramp for commercial use (shows, training facilities, rentals, events).

  • Includes a listing and recommendation on the Shogun.nz website.

  • You may not resell, share, modify, or redistribute the ramp plans in any form.

Unlimited Commercial License ($1,500 USD)

  • You may build unlimited ramps for commercial use.

  • Includes a featured listing and recommendation on the Shogun.nz website, plus promotion on Shogun Innovations, Levi Sherwood, and FMX Legends social media.

  • You may not resell, share, modify, or redistribute the ramp plans in any form.

General Ramp Plan Terms

  • Licenses are non-transferable.

  • All ramp plans and specifications are protected under copyright.

  • Altering, copying, or creating derivative works from the plans is strictly prohibited.

  • Intellectual property belongs solely to Shogun Innovations.

  • Any use outside of the license purchased is a breach of this agreement.

  • License upgrades are available by paying the difference.

5. Shipping and Delivery

Dispatch Times
Shogun Innovations Ltd aims to ship orders as soon as possible after they are made. If we cannot ship your order due to stocking issues, we will notify you within 3 working days.

Shipping Rates
Shipping rates for most countries are stipulated at checkout. In as many cases as possible, both express and standard shipping rates are provided. If the shipping rates shown at checkout are not acceptable to you, please contact us to discuss alternatives.

Shipping Tracking
Most deliveries will have a corresponding tracking number. You will receive this number via email when we dispatch your goods. If you lose it or can't find it, please contact us at:

Taxes and Duties
Each country has its own rules and laws relating to the collection of duties and taxes on items purchased over the internet. You are responsible for understanding the rules applicable to any order you make through this site. If your order is subject to duties and taxes other than those specified at checkout, you are solely responsible for payment of those duties and taxes. You agree to indemnify Shogun Innovations Ltd from, and make a payment to Shogun Innovations Ltd for, any amount incurred by Shogun Innovations Ltd in respect of duties or taxes on an order you make through this site.

6. Return Policy

  • Eligibility: Products can be returned within 30 days of receipt if they are in new, unused condition with all original packaging and accessories.

  • Process: To initiate a return, contact our customer service team at info@shogun.nz to obtain a Return Merchandise Authorization (RMA) number.

  • Shipping Costs: Customers are responsible for return shipping costs unless the return is due to a defect or an error on our part.

  • Refunds: Once we receive and inspect the returned product, a refund will be issued to the original payment method, minus any applicable restocking fees.

7. Warranty

  • Coverage: Shogun Innovations Ltd offers a 30-day limited warranty on all products, including the EFMX Bike, against manufacturing defects in materials and workmanship under normal use.

  • Exclusions: The warranty does not cover normal wear and tear, damage caused by improper use, neglect, accidents, or modifications not approved by Shogun Innovations Ltd.

  • Process: To claim warranty service, contact our customer service team at info@shogun.nz with proof of purchase and a description of the issue.

  • Remedy: At our discretion, we will repair, replace, or refund the defective product.

8. Privacy Policy

Shogun Innovations Ltd is committed to protecting your privacy. This Privacy Policy explains how we collect, use, and disclose your personal information.

  • Information We Collect: We collect personal information from you, including your name, contact information, and billing or purchase information.

  • Purpose: We collect your personal information to deliver our services and send you marketing and promotional material.

9. Safety Waiver and Assumption of Risk

For all products, designs, plans, parts, services, and activities provided by Shogun Innovations Ltd, including but not limited to ramps, the EFMX Bike, CAD design, manufacturing, and 3D scanning:

  • Acknowledgment of Risk: The customer acknowledges that motorsport and high-risk activities carry inherent risks, including serious injury or death, as well as potential flaws, errors, or failures in CAD design, 3D scanning, or manufacturing.

  • Assumption of Risk: The customer voluntarily assumes all risks associated with the use of these products, designs, plans, parts, or services.

  • Release of Liability: The customer agrees to release, waive, and discharge Shogun Innovations Ltd, its officers, employees, agents, and affiliates from any and all liability, claims, demands, or causes of action arising from use of these products, designs, plans, parts, or services.

  • Indemnification: The customer agrees to indemnify and hold harmless Shogun Innovations Ltd, its officers, employees, agents, and affiliates from any claims, damages, or expenses arising from the use of these products, designs, plans, parts, or services.

  • Binding Effect: This waiver and release are binding upon the customer, their heirs, executors, and assigns.

10. Disclaimer

  • Products, designs, and services are provided “as is.”

  • Under no circumstances shall Shogun Innovations Ltd assume any obligation, duty, or responsibility for your use of products, designs, or services.

  • You agree to indemnify Shogun Innovations Ltd against any loss, damage, or injury arising directly or indirectly from your use of products, designs, or services.

11. Limitation of Liability

  • Shogun Innovations Ltd is not liable for any indirect, incidental, or consequential damages.

  • Total liability is limited to the amount paid for the product, design, or service.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of New Zealand. Any disputes will be resolved in the courts of New Zealand.

13. Severability

If any provision of these Terms and Conditions is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Changes to Terms and Conditions

Shogun Innovations Ltd reserves the right to update or modify these Terms and Conditions at any time without prior notice. The most current version will always be posted on our website.
